Terms of Service

Welcome to Kulvo. These Terms of Service ("Terms") govern your use of the Kulvo platform, website, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

Kulvo is a software-as-a-service platform that enables users to create, send, and manage business proposals. The Service includes features for electronic signatures, payment collection, document tracking, and client communication.

2. User Accounts

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You may authenticate using third-party providers (such as Google OAuth). By doing so, you authorize us to access certain account information from those providers in accordance with our Privacy Policy.

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use the Service.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to solicit unlawful activity
• Impersonate another person or entity
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to send unsolicited communications (spam)
• Upload content that is defamatory, obscene, or infringes on third-party rights
• Reverse-engineer, decompile, or disassemble any part of the Service

4. Payment Terms

Certain features of the Service require a paid subscription. Payment is processed securely through Stripe, our third-party payment processor. By subscribing to a paid plan, you agree to pay the applicable fees and authorize Stripe to charge your payment method.

Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.

Refunds are handled on a case-by-case basis. Contact us at support@kulvo.dev for refund requests.

When your clients make payments through proposals, Kulvo facilitates the transaction via Stripe. You are responsible for the accuracy of payment amounts and descriptions in your proposals.

5. Electronic Signatures

The Service provides electronic signature functionality. By using this feature, you acknowledge that electronic signatures collected through Kulvo are intended to be legally binding, subject to applicable electronic signature laws. Kulvo records signature metadata (including timestamps, IP addresses, and signer identity) to support the validity of signed documents.

Kulvo does not provide legal advice regarding the enforceability of electronic signatures in your jurisdiction. You are responsible for ensuring that electronic signatures are appropriate for your use case.

6. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Kulvo and protected by intellectual property laws. You retain ownership of all content you create or upload through the Service, including proposals, documents, and media.

By using the Service, you grant Kulvo a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the Service to you.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KULVO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Kulvo's total liability for any claims arising under these Terms shall not exceed the amount you paid to Kulvo in the twelve (12) months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Kulvo may suspend or terminate your account if you violate these Terms or engage in activity that harms the Service or other users.

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

9. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Seoul, Republic of Korea.
